Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the KudoClip product and website (the “Service”) operated by KudoClip, Inc. (“KudoClip”, “we”, or “us”). By signing up for or using the Service, you agree to these Terms.

1. Who can use KudoClip

You must be 18 or older and able to form a binding contract under applicable law. By using the Service you represent that you meet these requirements. The Service is offered to business operators who want to collect, organize, and use customer video and photo testimonials for their own marketing.

2. Your account

You're responsible for keeping your account credentials confidential and for any activity that happens through your account. Notify us at support@kudoclip.com if you believe your account has been compromised.

3. Subscription, pricing, and billing

KudoClip is sold on a monthly subscription. Pricing tiers, their included quotas, and the action that counts against quota (currently: downloads of testimonials, not collection) are displayed at kudoclip.com/pricing and may change with notice. Subscription fees are billed in advance and are non-refundable except where required by law or as described below.

If a payment fails, we'll attempt to charge again over a 7-day grace period. If the subscription is still unpaid after grace, your account is automatically downgraded to the free tier and paid features pause. Stored data is preserved while your account exists.

You can cancel at any time from your billing settings. Cancellation takes effect at the end of the current billing period; we don't pro-rate partial months.

4. Customer-submitted content

Your end customers (your guests, patients, clients, etc.) submit videos and photos to KudoClip on your behalf. Before they submit, we ask each customer to grant both you and KudoClip permission to use their submission, including their likeness, voice, and any biometric identifiers visible in the recording, for marketing purposes. We record their acceptance (with a versioned consent string and timestamp) and store it with each upload.

You are responsible for ensuring that your campaign prompts, QR-code placements, and downstream uses of testimonials comply with all applicable laws and platform rules. KudoClip is a tool — the editorial and publication decisions remain yours.

5. AI processing

We use third-party AI services (currently OpenAI's Whisper for transcription and GPT-4-class models for quality and sentiment scoring) to analyze submissions. We send the audio and image content of submissions to these services solely for the purpose of returning a score and a brief analysis. Our current AI sub-processors are listed at kudoclip.com/legal/sub-processors and may change with notice on that page.

6. Acceptable use

You agree not to:

Use KudoClip to collect content from anyone you don't have a good-faith expectation will consent to its capture and use.
Upload or facilitate uploads of content that you know is unlawful, defamatory, infringing, or that targets minors.
Attempt to bypass quota or rate-limit controls, or otherwise interfere with the integrity of the Service.
Resell or sublicense KudoClip access to third parties without our written permission.

We may suspend or terminate accounts that materially breach these rules, including immediately for severe abuse.

7. Intellectual property

KudoClip and all related software, content, and trademarks belong to us. Your customers' testimonial content remains theirs subject to the license they grant when submitting; the license they grant to you covers your use of those testimonials in marketing. The license they grant to us covers operating the Service.

8. Privacy

Our handling of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

9. DMCA and takedown

If you believe a testimonial on KudoClip infringes your copyright, send a notice per our DMCA policy.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AI-GENERATED SCORES AND ANALYSES ARE BEST-EFFORT AND MAY CONTAIN ERRORS; YOU SHOULD REVIEW BEFORE PUBLISHING ANY TESTIMONIAL.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, KUDOCLIP'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.

12. Changes to the Service or these Terms

We may modify the Service or these Terms at any time. Material changes will be announced via email or in-product notice with at least 14 days' notice when reasonably possible. Continued use after the effective date constitutes acceptance.

13. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions. Any dispute will be resolved exclusively in the state or federal courts located in Delaware.
